6. Payments and Billing

A non-refundable deposit may be required before project initiation.

Remaining balances are due upon completion of deliverables or at specified milestones.

Late payments may incur additional fees or interest as detailed in the invoice.

CMS reserves the right to withhold or pause work until payment obligations are met.

7. Intellectual Property

CMS retains ownership of all intellectual property, frameworks, systems, and materials developed prior to or independently of the client project.

Upon full payment, clients receive rights to use the specific deliverables created for them (e.g., designs, content, or websites) for their business purposes.

CMS may display completed work in its portfolio or marketing materials unless the client requests otherwise in writing.

8. Confidentiality

Both CMS and the client agree to keep all project materials, strategies, and communications confidential.
No information shared during the project will be disclosed to third parties without consent, except where required by law.

9. Limitation of Liability

While CMS strives for accuracy and reliability, we do not guarantee that results (such as lead volume, website traffic, or revenue) will meet specific targets.
To the fullest extent permitted by law, CMS shall not be liable for:

Indirect or consequential damages arising from service use.

Data loss, service interruptions, or system failures.

Errors or delays caused by third-party tools, platforms, or integrations.

10. Indemnification

Clients agree to indemnify and hold harmless CMS, its team, and affiliates from any claims, damages, or liabilities resulting from:

11. Termination

Either party may terminate the service agreement with written notice if:

The other party breaches material terms of the contract and fails to remedy within 10 business days.

The project scope changes substantially or becomes unfeasible.

Upon termination, all outstanding payments for completed work or active deliverables become immediately due.

We are not responsible for downtime, errors, or policy changes made by these providers. Clients using third-party integrations agree to the terms of those platforms.

13. Modifications to Terms

CMS reserves the right to update or revise these Terms of Service at any time. Updates will be posted on this page with a revised “Last Updated” date. Continued use of the website or services after such updates constitutes acceptance of the new terms.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located within Adams County, Colorado.
